Ahtspot, we are dedicated to assisting artists
and improving the services that we provide.
Ahtspot and its affiliates provide their services
to you subject to the following terms and
conditions. If you visit Ahtspot or any of
Ahtspot's sites or use any of Ahtspot's services
or any services of a Ahtspot company, you
agree to the following Terms and Conditions
(the "Agreement"), as it may be
amended from time to time as provided herein. |

| Company Terms: |
| To
become a client of Ahtspot, you must register
with Ahtspot by completing and submitting
a registration form. When and if you register
to become a client, you agree to provide accurate
and current information about yourself as
prompted by the registration form and to maintain
and update your information to keep it accurate.
You agree that Ahtspot and persons or companies
that may hire or engage you may rely on the
information you provide as accurate. You agree
to periodically review your personal website
and promptly notify Ahtspot of any inaccuracies
or updates to your information. You acknowledge
that if any information is untrue, inaccurate,
or otherwise misleading in any respect, Ahtspot
reserves the right to terminate this Agreement
and your use of the Site. Ahtspot is not responsible
for any mishaps, injuries or losses in any
way that may occur while using our services. |

| Ahspot Ahtist
Database Terms: |
| |
1.)
|
All Ahtspot clients must maintain
a working email address at all times. This
allows Ahtspot to contact the client with
invoices, potential bookings, and website
updates. Failure to keep a working email address
may result in the termination of your services
with Ahtspot. |
| |
2.)
|
All written material must be
submitted through the Ahtspot maintenance
form by cutting and pasting the text in the
box provided. No written documents or word
processing files will be accepted. |
| |
3.)
|
Each client is allowed to post
1 image for their database entry. Images electronically
sent will only be accepted in .jpg or .gif
format. Clients may also mail us actual photos,
slides, or negatives (A scanning fee may be
charged). Ahtspot is not responsible for any
artwork stolen from a client's website. |
| |
4.)
|
Ahtspot and its employees are
in no way responsible for any lost, stolen,
or damaged materials sent to us electronically
or by mail. It is best not to send an original,
always send a copy or photo of the original.
Ahtspot will only return submitted materials
if the client provides a self-addressed stamped
container for the materials. |
| |
5.)
|
All clients are allowed to
update their database entry as often as they
wish. Please allow 1-2 weeks for the site
to be updated after each change. |
| |
6.)
|
Ahtspot reserves the right
to monitor a client's database entry for foul
language and obscene images. We also reserve
the right to edit a client's database entry
for any reason, including (but not limited
to): spelling, grammar, punctuation, paragraph
formation, and content. You are solely responsible
for the content that you publish or display
(hereinafter, "post") on the Site.
You understand and agree that Ahtspot may
review and delete any content, messages, photos
or other information that, in the sole judgment
of Ahtspot, violates this Agreement or which
might be offensive, illegal or objectionable
to Ahtspot, other clients or prospective purchasers.

You agree that you will not
post any matter that promotes an illegal or
unauthorized copy of another person's copyrighted
work, such as providing pirated computer programs
or links to them, providing information to
circumvent manufacture-installed copy-protected
devices, or providing pirated music or links
to pirated music files. |

8.)
|
You will not post, distribute
or reproduce in any way any copyrighted works,
trademarks or other proprietary information
without obtaining the prior consent of the
owner of such proprietary works. You will
not remove any copyright, trademark or other
proprietary rights notices contained in your
Site. |

9.)
|
You will be allowed to post
one image that represents you or your company,
a bio describing yourself as an artist, your
availability and rates information, and contact
information you wish to share with the public. |

10.) |
Ahtspot is not responsible
for any lost funds in any way. |
| |

Ahtspot is in no way responsible
for employing you of finding you employment. |
| |
12.) |
Ahtspot is in no way responsible

| Miscellaneous
Terms: |

Ahtspot reserves the right to terminate
any and all Agreement and the services provided
hereunder at any time, for any reason, or
no reason, without refund of any kind. |

Clients may also cancel services at any
time by notifying the staff of Ahtspot by
Contacting Us in the members section. |
| |
3.)
|
Ahtspot is in no way responsible for employing
you of finding you employment. |
| |
4.)
|
By submitting your information and using
the Site, you represent and warrant that you
have the right, authority, and capacity to
enter into this Agreement and to abide by
all of the terms and conditions of this Agreement.
If you are an individual, you represent and
warrant that you are at least 18 years old.
You also represent and warrant that you either
exclusively own or have all necessary rights
in and to each work that you submit to Ahtspot. |

This Agreement is subject to change at anytime
for any reason or no reason and without prior
notice to you or your consent, effective on
the posting of such changes and/or the revised
terms on our website. Ahtspot's current Terms
& Conditions for its clients are currently
posted at http://www.ahtspot.com/about/terms.htm.
This Agreement constitutes the entire agreement
between you and Ahtspot and supersedes all
other agreements, whether written or oral.
All decisions by Ahtspot are final. |

Illegal and/or unauthorized uses of the
Site, including collecting and or harvesting
usernames and/or email addresses of clients
by electronic or other means for the purpose
of sending unsolicited email and unauthorized
framing of or linking to the Site will be
investigated, and legal action will be taken,
including without limitation, injunctive redress,
civil, and criminal. |

If any provision of this Agreement is held
invalid, the remainder of this Agreement shall
continue in full force and effect. Unless
otherwise explicitly stated, this Agreement
will survive termination of your relationship
with Ahtspot. |

| Proprietary Rights/Trademark
Notices: |

Ahtspot.com & Ahtspot are trademarks
of Love Thy Job. All other trademarks, logos,
service marks, company or product names set
forth in this Site are the property of their
respective owners. |

2.)

Love Thy Job owns and retains other proprietary
rights in Ahtspot and related marks. The Site
contains copyrighted material, trademarks,
and other proprietary information of Ahtspot,
its clients, licensors and licensees. In addition,
other clients may post copyrighted information,
which has copyright protection whether or
not it is identified as copyrighted. Except
for that information which is in the public
domain or for which you have been given permission,
you will not copy, modify, publish, transmit,
distribute, perform, display, or sell any
such proprietary information. |

any responsibility for the deletion, failure
to store, misdelivery, or untimely delivery
of any information or material. Ahtspot disclaims
any responsibility for any harm resulting
from downloading or accessing any information
or material on the Internet through the AHTSPOT
SERVICES. |

MATERIALS, INFORMATION, PRODUCTS AND SERVICES

OF OR RELIANCE ON THE AHTSPOT SERVICES. ARISING
FROM ANY CLAIM RELATING TO THIS AGREEMENT
OR THE SUBJECT MATTER HEREOF SUCH LIMITATION
OF LIABILITY SHALL APPLY TO PREVENT RECOVERY
OF DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL,
SPECIAL, EXEMPLARY, AND PUNITIVE DAMAGES WHETHER
SUCH CLAIM IS BASED ON WARRANTY, CONTRACT,
TORT (INCLUDING NEGLIGENCE), OR OTHERWISE,
(EVEN IF AHTSPOT OR ITS LICENSORS HAVE BEEN
ADVISED OF THE POSSIBILITY OF SUCH DAMAGES).
SUCH LIMITATION OF LIABILITY SHALL APPLY WHETHER
THE DAMAGES ARISE FROM USE OR MISUSE OF AND
RELIANCE ON THE AHTSPOT SERVICES, FROM INABILITY
TO USE THE AHTSPOT SERVICES, OR FROM THE INTERRUPTION,
SUSPENSION, OR TERMINATION OF THE AHTSPOT
SERVICES (INCLUDING SUCH DAMAGES INCURRED
BY THIRD PARTIES). THIS LIMITATION SHALL ALSO
APPLY WITH RESPECT TO DAMAGES INCURRED BY
REASON OF OTHER SERVICES OR GOODS RECEIVED
THROUGH OR ADVERTISED ON THE AHTSPOT SERVICES
OR RECEIVED THROUGH ANY LINKS PROVIDED IN
THE AHTSPOT SERVICES, AS WELL AS BY REASON
OF ANY INFORMATION OR ADVICE RECEIVED THROUGH
OR ADVERTISED ON THE AHTSPOT SERVICES OR RECEIVED
THROUGH ANY LINKS PROVIDED IN THE AHTSPOT
SERVICES. THIS LIMITATION SHALL ALSO APPLY,
WITHOUT LIMITATION, TO THE COSTS OF PROCUREMENT
OF SUBSTITUTE GOODS OR SERVICES, LOST PROFITS,
OR LOST DATA. SUCH LIMITATION SHALL FURTHER
APPLY WITH RESPECT TO THE PERFORMANCE OR NON-PERFORMANCE
OF THE AHTSPOT SERVICES OR ANY INFORMATION
OR MERCHANDISE THAT APPEARS ON, OR IS LINKED
OR RELATED IN ANY WAY TO, THE AHTSPOT SERVICES.
SUCH LIMITATION SHALL APPLY NOTWITHSTANDING
ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED
REMEDY AND TO THE FULLEST EXTENT PERMITTED
BY LAW. |
| SOME STATES OR OTHER JURISDICTIONS
DO NOT ALLOW THE EXCLUSION OR LIMITATION OF
LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL
DAMAGES, SO THE ABOVE LIMITATIONS AND EXCLUSIONS
MAY NOT APPLY TO YOU. |
| Without
limiting the foregoing, under no circumstances
shall Ahtspot or its licensors be held liable
for any delay or failure in performance resulting
directly or indirectly from acts of nature,
forces, or causes beyond its reasonable control,
including, without limitation, Internet failures,
computer equipment failures, telecommunication
equipment failures, other equipment failures,
electrical power failures, strikes, labor
disputes, riots, insurrections, civil disturbances,
shortages of labor or materials, fires, floods,
storms, explosions, acts of God, war, governmental
actions, orders of domestic or foreign courts
or tribunals, non-performance of third parties,
or loss of or fluctuations in heat, light,
or air conditioning. |
| Ahtspot
does not screen its clients in any way. In
no event will Ahtspot be liable to you under
this Agreement for any damages, whether special,
incidental, accidental, consequential or indirect
including but not limited to loss of programs,
cost of procurement, substitute services or
service interruption out of the use or inability
to use Ahtspot; nor shall Ahtspot be liable
for any damages whatsoever resulting from
an event of force majeure. In addition, Ahtspot
disclaims all liability, regardless of the
form of action, for the acts or omissions
of other clients or users (including unauthorized
users, or "hackers") of the Site.

| To
the extent permitted by applicable law, the
liability of Ahtspot arising out of, or in
connection with, this Agreement shall in the
aggregate not exceed the amount of fees paid
by you to Ahtspot under the terms of this
Agreement. |

| Indemnity: |
| |
1.)

You agree to defend, indemnify, and hold
harmless Ahtspot, its officers, directors,
employees, agents and third parties, for any
losses, costs, liabilities and expenses (including
reasonable attorneys' fees and expenses) relating
to or arising out of your use of Ahtspot,
the Site and the Ahtspot services, including
your breach of this Agreement and any allegation
that any materials that you submit to us or
transmit to the Site infringe or otherwise
violate the copyright, trademark, trade secret,
intellectual property or other rights of any
third party; and/or your activities in connection
with the Site. This indemnity shall be applicable
without regard to the negligence of any party,
including any indemnified person. |

If there is any dispute about or involving
the Site, by using the Site, you agree that
the dispute will be governed by the laws of
the State of Rhode Island without regard to
its conflict of law provisions. You agree
to personal jurisdiction by and venue in the
state and federal courts of the State of Rhode
Island. |

Ahtspot is not responsible for any incorrect
or inaccurate content posted on the Site or
in connection with Ahtspot, whether caused
by users of the Site, clients or by any of
the equipment or programming associated with
or utilized by it. Ahtspot is not responsible
for the conduct, whether online or offline,
of any user of the Site or client. Ahtspot
assumes no responsibility for any error, omission,
interruption, deletion, defect, delay in operation
or transmission, communications line failure,
theft or destruction or unauthorized access
to, or alteration of, user or client communications.
Under no circumstances with Ahtspot be responsible
for any loss or damage, including personal
injury or death, resulting from anyone's use
of the Site, whether online or offline. The
Site is provided "AS-IS" and Ahtspot
expressly disclaims any warranty of fitness
for a particular purpose or non-infringement.
Ahtspot cannot guarantee and does not promise
any specific results from use of the Site. |

to harass or injure you. Ahtspot is not responsible
for the use of any personal information that
you disclose. Please carefully select the
type of information that you post on Ahtspot
or release to others. |

grants you a limited license to access and
make personal use of this site and not to
download (other than page caching) or modify
it, or any portion of it, except with express
written consent of Ahtspot. This license does
not include any resale or commercial use of
this site or its contents; any collection
and use of any product listings, descriptions,
or prices; any derivative use of this site
or its contents; any downloading or copying
of account information for the benefit of
another merchant; or any use of data mining,
robots, or similar data gathering and extraction
tools. This site or any portion of this site
may not be reproduced, duplicated, copied,
sold, resold, visited, or otherwise exploited
for any commercial purpose without express
written consent of Ahtspot. You may not frame
or utilize framing techniques to enclose any
trademark, logo, or other proprietary information
(including images, text, page layout, or form)
of Ahtspot and our affiliates without express
written consent. You may not use any meta
tags or any other "hidden text"
utilizing Ahtspot's name or trademarks without
the express written consent of Ahtspot. Any
unauthorized use terminates the permission
or license granted by Ahtspot. You are granted
a limited, revocable, and nonexclusive right
to create a hyperlink to the home page of
Ahtspot so long as the link does not portray
Ahtspot, its affiliates, or their products
or services in a false, misleading, derogatory,
or otherwise offensive matter. You may not
use any Ahtspot logo or other proprietary
graphic or trademark as part of the link without
express written permission. |

| Your Account: |
| If
you use this site, you are responsible for
maintaining the confidentiality of your account
and password and for restricting access to
your computer, and you agree to accept responsibility
for all activities that occur under your account
or password. Ahtspot does sell products for
children, but it sells them to adults, who
can purchase with a credit card. If you are
under 18, you may use Ahtspot only with involvement
of a parent or guardian. Ahtspot and its affiliates
reserve the right to refuse service, terminate
accounts, remove or edit content, or cancel
orders in their sole discretion. |

| Release Authorization: |
| A
digitally signed release/authorization is
required for all submitted materials (including
but not limited to: personal photographs,
sound clips, video clips, artwork, writings,
and other images) before Ahtspot can use them
or post them on the Site. |
| You
agree that by submitting materials to Ahtspot
(either initially or subsequently), Ahtspot
may use your submitted materials in accordance
with the Agreement in order to promote you,
other artists and Ahtspot in: media, advertisements,
presentations, informational materials (including
websites), and other promotional material,
provided that appropriate credit is given
to the artist. |
| You
understand that Ahtspot has a right to crop,
edit or treat the submitted material(s) at
its discretion so long as it is used in accordance
with the terms of the Agreement. |
| You
also understand that once my submitted materials
are posted on the Ahtspot website, these materials
can be downloaded by any computer user. |
| |
| Reviews, Comments,
Communications, and Other Content: |
| Visitors
may post reviews, comments, other content
and other communications; and submit suggestions,
ideas, comments, questions, or other information,
so long as the content is not illegal, obscene,
threatening, defamatory, invasive of privacy,
infringing of intellectual property rights,
or otherwise injurious to third parties or
objectionable and does not consist of or contain
software viruses, political campaigning, commercial
solicitation, chain letters, mass mailings,
or any form of "spam." You may not
use a false e-mail address, impersonate any
person or entity, or otherwise mislead as
to the origin of a card or other content.
Ahtspot reserves the right (but not the obligation)
to remove or edit such content, but does not
regularly review posted content. |
| If
you do post content or submit material, and
unless we indicate otherwise, you grant Ahtspot
and its affiliates a nonexclusive, royalty-free,
perpetual, irrevocable, and fully sublicensable
right to use, reproduce, modify, adapt, publish,
translate, create derivative works from, distribute,
and display such content throughout the world
in any media. You grant Ahtspot and its affiliates
and sublicensees the right to use the name
that you submit in connection with such content,
if they choose. You represent and warrant
that you own or otherwise control all of the
rights to the content that you post; that
the content is accurate; that use of the content
you supply does not violate this policy and
will not cause injury to any person or entity;
and that you will indemnify Ahtspot or its
affiliates for all claims resulting from content
you supply. Ahtspot has the right but not
the obligation to monitor and edit or remove
any activity or content. Ahtspot takes no
responsibility and assumes no liability for
any content posted by you or any third party. |

| Risk of Loss: |
| All
items purchased from Ahtspot are made pursuant
to a shipment contract. This means that the
risk of loss and title for such items pass
to you upon our delivery to the carrier. |

| Product Descriptions: |
| Ahtspot
and its affiliates attempt to be as accurate
as possible. However, Ahtspot does not warrant
that product descriptions or other content
of this site is accurate, complete, reliable,
current, or error-free. If a product offered
by Ahtspot itself is not as described, your
